Scope

These terms apply to development samples and small sample orders arranged through shamarspo, including shipments to business or individual recipients outside China. Bulk production orders may require a separate quotation and purchase confirmation.

Sample fee and shipping

Unless a proforma invoice (PI) states otherwise, the quoted sample fee is all-inclusive of: • Sample production as described in the PI • International express courier freight to the buyer's confirmed delivery address • Standard export packing for sample shipment If production and freight are shown as separate line items on a PI, the total amount due still represents the agreed all-in sample price unless explicitly marked as ex-works or freight collect.

Payment

• Payment method: PayPal Invoice or PayPal payment link to Seller's PayPal Business account registered under Hangzhou Shamarspo Industrial Co., Ltd. • Payment due: 100% of the total amount due before sample production begins, unless the PI specifies a different schedule. • Currency: United States Dollars (USD) unless otherwise stated on the PI. • Production start: Sampling begins only after (a) full payment is received and (b) specifications are confirmed in writing by email. • PayPal processing fees: Unless the PI states otherwise, PayPal fees are borne by the Seller and the buyer pays the PI total only.

Shipping and customs

• Shipment: International express courier (DHL, FedEx, UPS, EMS, or equivalent) selected by Seller unless otherwise agreed. • Incoterms® 2020: DAP — destination city/country as confirmed by Buyer. Freight prepaid by Seller when included in the sample fee. • Customs declaration: Shipments are declared truthfully as commercial samples with accurate description, quantity, and value. • Import duties and taxes: All import duties, VAT/GST, customs brokerage, and similar charges in the destination country are the sole responsibility of the buyer or recipient, even when freight is prepaid. • Tracking: A courier tracking number is provided upon shipment. Delivery times are estimates only.

Taxes

Seller is a company incorporated in the People's Republic of China. No U.S. state or local sales tax is included or collected by Seller unless required by applicable law and expressly stated on the PI. Buyer is responsible for destination-country import taxes. Upon request, Seller may provide IRS Form W-8BEN-E for Buyer's records.

Sample-specific terms

• Samples are for evaluation and fit review only; minor variances from bulk production may occur. • Sample payment does not obligate either party to a bulk order. • Sample fees are non-refundable once production has commenced. • Bulk production requires separate written confirmation, MOQ agreement, and pricing. • Buyer's logos and designs remain Buyer's property; Seller's pre-existing patterns and know-how remain Seller's property unless otherwise agreed in writing.

Contract formation

Submitting a website inquiry does not create a binding contract. A transaction is confirmed when Buyer pays the PI in full or when both parties sign or email-confirm the PI, whichever process is stated on the PI.

General

• PI validity: Typically 30 days from issue unless otherwise stated. • Governing law: Laws of the People's Republic of China. • Disputes: Good-faith negotiation first; failing that, competent court in Hangzhou, Zhejiang, China. • Force majeure: Neither party is liable for delay due to customs inspection, courier disruption, natural disasters, or other events beyond reasonable control.
